Terms for the AICONA Card Service

Welcome to AICONA Card, a service provided by AICONA.

These Service-Specific Terms of Service govern the use, ordering, setup, design, management, maintenance, renewal and operation of digital cards provided under the AICONA Card service.

These Terms form an integral part of AICONA’s general Website Terms of Use and AICONA’s Privacy Policy. In the event of any conflict between these Service-Specific Terms and the general Terms of Use, these Service-Specific Terms shall prevail solely with respect to the AICONA Card service.

By using the service, ordering a digital card, submitting materials to AICONA, approving a quotation, or making payment for the service, the Client agrees to be bound by these Terms.

1. Definitions

For the purposes of these Terms:

AICONA means the business, brand and service provider operating the AICONA Card service.

AICONA Card means a managed service for the setup, design and management of a digital business card and/or short digital profile page, intended to display contact details, links, social media profiles, action buttons, QR codes, business information and additional content, according to the selected service plan. Client means any individual, business, company, organization, institution, nonprofit entity, team, or representative thereof, ordering the AICONA Card service.

Digital Card means a personal or business digital page created and managed by AICONA and made available through a link, QR code or any other digital means. Materials means any information, text, image, logo, contact detail, link, video, content, employee details, trademark, name, title, role or any other material provided by the Client to AICONA for the purpose of creating the Digital Card. Service Plan means one of the service packages offered by AICONA, including, without limitation, Basic Card, Full Card, Card + Branding, Team and Company Cards, or any other plan that may be offered in the future.

2. Nature of the Service

AICONA Card is a managed digital service under which AICONA sets up, designs and manages a Digital Card for the Client, according to the selected Service Plan and the Materials provided by the Client. The service is intended to allow businesses, professionals, service providers, companies and teams to present their contact details, links and digital presence in one organized, shareable and mobile-friendly location. For the avoidance of doubt, at this stage, the service does not include a self-management system for the Client and does not allow the Client to independently create, edit, update or manage the Digital Card, unless expressly agreed otherwise in writing. The setup, update, modification, maintenance or removal of the Digital Card shall be performed by AICONA, in accordance with the Service Plan, the quotation, the agreements between the parties and these Terms.

3. Service Plans

The service shall be provided according to the Service Plan selected by the Client, as described on the service page, in the quotation, or in any other written agreement between the parties.

The Service Plans may include, among others: Basic Card – a short, designed Digital Card that includes the Client’s main contact details, such as name, title, photo or logo, phone number, WhatsApp, email, website or main link, up to a limited number of social media links, QR code and mobile adaptation.

Full Card – an expanded Digital Card that may include, depending on the selected plan, an About section, services, gallery or portfolio, navigation link, save-to-contacts option, contact form or main WhatsApp button, quick sharing and additional features based on the content provided by the Client.

Card + Branding – a plan that includes, in addition to the setup of a Digital Card, the creation of basic visual identity elements for the business, such as a visual direction, basic logo or brand mark, color palette, font selection, cover image and short About text based on information provided by the Client.

Team and Company Cards – a service for creating multiple Digital Cards based on a unified branded template, where each employee or representative receives a personal card with their details, subject to the materials, approvals and consents provided by the Client and/or company.

AICONA may update, modify, add or remove Service Plans, features, prices and service terms from time to time. Such changes shall not apply retroactively to services that have already been paid for and approved, unless required by law, technological change, operational necessity, changes in third-party platforms, or by agreement between the parties.

4. What Is Included in the Service

The service includes only the components specified in the selected Service Plan, on the service page, in the quotation, or in any other written agreement.

Depending on the selected plan, the service may include:

Setup of a Digital Card by AICONA; visual design and adaptation; integration of name, title, photo, logo and business details; phone, WhatsApp, email, website and links; social media links; navigation link; personal QR code; action buttons; save-to-contacts option using a vCard file, where included in the plan; About section; services section; image gallery or portfolio; contact form or WhatsApp = button; mobile adaptation; social sharing image for social media and/or WhatsApp, where included in the plan; and revision rounds according to the selected plan. The features, number of sections, number of links, scope of design, scope of content and number of revision rounds vary between the Service Plans.

5. What Is Not Included in the Service

Unless expressly stated otherwise in writing, the service does not include:

a self-management system for the Client; a private domain; a full website; separate external hosting; payment processing or online store functionality; CRM system; email marketing systems;
automations; connection to Google Sheets or other external systems; Google Analytics, Meta Pixel, Tag Manager or other tracking tools; full legal accessibility compliance; legal advice; a custom Privacy Policy for the Client; extended marketing copywriting; professional translation; professional photography; full and comprehensive logo design, unless included in the plan; a full brand book;
printed physical cards; NFC products; campaign management, advertising or social media management services; unlimited maintenance; unlimited updates; or any services not expressly included in the selected Service Plan. 
Any additional service shall be priced separately and provided only after approval by both AICONA and the Client.

6. Work Process

The work process for AICONA Card generally includes the following stages:

selection of a Service Plan; approval of a quotation or service details; full payment or deposit, according to the agreement; completion of a questionnaire and/or submission of business details;
submission of materials such as logo, images, texts, links and contact details; design and setup of the Digital Card by AICONA; submission of a draft or preview link for Client approval; execution of revision rounds according to the selected plan; final approval by the Client; publication of the Digital Card and delivery of the link and/or QR code for use. 
AICONA may adjust the work process according to the type of Client, project scope, selected plan, technical requirements or other circumstances.

7. Materials Provided by the Client

The Client is responsible for providing AICONA with all materials required for the setup of the Digital Card, including texts, contact details, logo, images, links, social media details, business address, employee names and roles, and any other information required for creating the Digital Card. The Client represents and warrants that all materials provided to AICONA are owned by the Client or that the Client has lawful permission to use and publish them as part of the Digital Card.

The Client is responsible for ensuring that the materials do not infringe copyrights, trademarks, privacy rights, publicity rights, moral rights or any other rights of any third party. AICONA shall not be liable for any claim, demand, lawsuit or damage arising from materials provided by the Client or on the Client’s behalf.

8. Client Responsibility for Accuracy of Information

The Client is fully responsible for the accuracy, completeness and currentness of the information appearing on the Digital Card. The Client undertakes to carefully review and approve, prior to publication, all details appearing on the Digital Card, including:

phone numbers; WhatsApp links; email addresses; website and social media links; business address; names and titles; texts; images; vCard file, where applicable; QR code; and any other detail appearing on the Digital Card. Approval of the Digital Card by the Client shall be deemed confirmation that the information is correct, valid and approved for publication. AICONA shall not be responsible for errors, omissions, spelling mistakes, incorrect links, incorrect numbers or outdated information provided or approved by the Client.

9. Publication of Information on the Digital Card

The Client understands and acknowledges that the Digital Card is intended for public display, and that any person who receives the link to the Digital Card or scans the QR code may be able to view the information appearing on it. The public information may include, among other things: full name; business name; title or role; photo; logo; phone number; WhatsApp; email address; business address; website; social media profiles; services; gallery; About text; and additional links.

The Client is responsible for determining which details will appear on the Digital Card and confirms that they understand that the information published on the Digital Card may be publicly accessible.

10. Employee, Team and Company Cards

Where the service is provided for a company, organization, team or multiple employees, the Client and/or company is responsible for providing AICONA with accurate and approved details for each employee or representative. The Client and/or company undertakes to obtain all required consents from each employee, representative, partner or other person whose information is provided to AICONA for publication on the Digital Card. The Client and/or company is responsible for notifying AICONA when an employee leaves, changes role, changes phone number, requests removal of their details, or when any other update is required. AICONA shall not be liable for any claim, demand or damage arising from the publication of employee or representative details provided to it by the Client and/or company.

11. Payment, Prices and VAT

Service prices shall appear on the service page, in the quotation or in any other engagement document. Unless expressly stated otherwise, prices do not include VAT.

AICONA may begin work only after the order has been approved and full payment or a deposit has been received, as agreed between the parties. Failure to make payment on time may delay the commencement of work, continuation of work, publication of the Digital Card, delivery of the link, or continued operation of the service. AICONA may change its prices from time to time. A price change shall not apply to a service that has already been paid for and approved, unless otherwise agreed.

12. Term of Use, Annual Renewal and Hosting

Unless expressly stated otherwise, the service includes setup and use of the Digital Card for a period of one year from the activation date of the Digital Card. At the end of the service period, continued use of the Digital Card shall be subject to annual renewal or another agreement between the parties. The annual renewal fee, if applicable, shall be displayed on the service page, in the quotation, or in a notice provided to the Client. Failure to renew the service on time may result in suspension, removal, blocking or termination of the Digital Card, in whole or in part, at AICONA’s discretion and subject to applicable law. AICONA may retain Digital Card data for a limited period after termination of the service for operational, documentation, customer service, billing, legal compliance or potential renewal purposes, and may thereafter delete such information in accordance with its policies and applicable law.

13. Revisions and Change Rounds

Each Service Plan includes a number of revision rounds as specified on the service page, in the quotation or in another written agreement. A revision round includes reasonable adjustments to content, details, information order, links or existing elements on the Digital Card.

Unless expressly stated otherwise, a revision round does not include: a complete change of concept; redesign of the entire Digital Card; creation of a new visual identity; full marketing copywriting; translation; photography; complex image editing; creation of a new logo; addition of sections not included in the selected plan; connection to external systems; or any new work that is not part of the selected plan. Changes beyond the included revision rounds shall be priced separately.

14. Updates After Delivery of the Digital Card

After approval and publication of the Digital Card, updates and changes shall be performed by AICONA only, according to the Service Plan, maintenance package or a separate quotation.

Updates may include, among other things:

change of phone number; change of link; text update; image replacement; addition of a service;
removal of a service; replacement of an employee; addition of an employee; address change; QR code update; or vCard file update. 
Unlimited maintenance is not included in the service unless expressly agreed otherwise in writing. AICONA may determine reasonable handling times for updates based on workload, complexity of the request and the selected Service Plan.

15. Delivery Times

Delivery times may vary according to the Service Plan, project scope, availability of materials, Client response times, revision rounds, workload and other circumstances. The delivery timeline shall begin only after all required materials have been received, the order has been approved and the required payment or deposit has been received. Any delay by the Client in providing materials, approvals, revisions or payment may postpone the delivery date and shall not be considered a breach of obligation by AICONA.

16. Failure by the Client to Provide Materials

If the Client does not provide the materials required for setting up the Digital Card within a reasonable time, AICONA may pause the project until the materials are received.

If the Client fails to provide materials for a prolonged period exceeding 20 days, AICONA may close the project, freeze the order or require an additional payment to reopen the work, according to the stage of the project and subject to applicable law. Payments made for work already performed, working time, planning, design, characterization, project setup or reserved work time may not necessarily be refundable, subject to applicable law and the agreements between the parties.

17. Links, QR Codes and Sharing

The Digital Card may include links to websites, WhatsApp, social media profiles, maps, forms, files, QR codes, vCard files and other external services. The Client is responsible for verifying that all links are correct before approving the Digital Card. A QR code leads to the digital address of the Digital Card or to another address as defined when the QR code is created. If the Digital Card address changes after the QR code is created, a new QR code may need to be generated.

AICONA shall not be responsible for the use of a QR code that was printed, distributed or published by the Client after a link change, domain change, website structure change or service termination.

The preview and appearance of the Digital Card when shared on WhatsApp, Facebook, Instagram, iMessage or any other platform may be affected by external systems, cache, platform settings, image size, system updates or third-party limitations. AICONA shall make reasonable efforts to configure a social sharing image, title and description where included in the selected plan, but does not guarantee how any platform will display the shared link in practice.

18. Save to Contacts

If the service includes a save-to-contacts button, AICONA may create a VCF file based on the details provided by the Client. The save-to-contacts function depends on the user’s device, operating system, browser, privacy settings, installed applications and external services. AICONA does not guarantee that every device will open or save the contact file in the same manner, and shall not be liable for issues originating from the user’s device, browser or operating system. The Client is responsible for reviewing and approving the contact details before publication of the Digital Card.

19. Domain, Digital Card Address and Technological Infrastructure

The Digital Card may be hosted and displayed within the AICONA Card environment, such as a domain or subdomain of AICONA, or under another address determined by AICONA. Unless expressly stated otherwise, the service does not include a private domain for the Client.

AICONA may from time to time change the technological infrastructure, domain, subdomain, link structure, platform or hosting method of the Digital Cards, subject to technological, operational, commercial or security considerations. In the event of an address change, AICONA shall make reasonable efforts to notify the Client. The Client is responsible for updating printed QR codes, email signatures, publications, links or any other external use of the previous address, unless otherwise agreed.

20. Third-Party Services

The service may rely on external platforms and services, including Wix, WhatsApp, Meta, Facebook, Instagram, LinkedIn, TikTok, Google Maps, Waze, email services, browsers, operating systems, hosting services and additional tools. AICONA does not control third-party services and shall not be responsible for their availability, functionality, policy changes, terms of use, malfunctions, blocks, restrictions, technological changes, API changes, display issues or any damage arising from them.

Use of third-party services is subject to the terms of use and privacy policies of those third parties.

21. Service Availability

AICONA shall make reasonable efforts to maintain the operation of the Digital Cards, but does not guarantee continuous, complete, unlimited or error-free availability. There may be malfunctions, temporary interruptions, maintenance work, upgrades, platform changes, loads, communication issues, third-party provider failures, information security incidents, force majeure events or circumstances beyond AICONA’s control. AICONA shall not be liable for any direct or indirect damage arising from temporary unavailability of the Digital Card, link malfunction, QR code issue, display disruption, loading issue, mobile display issue or any malfunction originating from a third party.

22. Privacy and Personal Information

Use of the service is subject to AICONA’s Privacy Policy. The Client acknowledges that information submitted for inclusion in the Digital Card is intended to be published as part of the Digital Card and may be publicly accessible. If the Digital Card includes details of employees, representatives, partners or third parties, the Client is responsible for obtaining all legally required consents from them. AICONA may process information provided by the Client for the purpose of setting up the Digital Card, providing the service, maintenance, updates, contact, documentation, billing, business relationship management, service improvement and compliance with legal requirements.

Requests to access, correct, update or remove personal information shall be handled in accordance with AICONA’s Privacy Policy and applicable law.

23. Contact Forms and Leads

If the Digital Card includes a contact form, details submitted through the form may be sent to AICONA, to the Client, or to both, depending on how the Digital Card is configured. The Client is responsible for informing AICONA of the email address, phone number or contact method to which inquiries from the Digital Card should be sent. AICONA shall not be responsible for lost inquiries, delayed receipt of inquiries, spam filtering, email errors, technical issues, third-party failures or the Client’s failure to respond to inquiries received. The Client is responsible for complying with applicable law regarding the use of inquiry details, including consent, privacy protection and refraining from sending marketing communications in violation of law.

24. Client Intellectual Property

The Client remains the owner of the original materials provided to AICONA, including existing logos, existing images, existing texts, trademarks, links, business details and other business content, provided that the Client indeed owns the rights to them or is authorized to use them.

Providing materials to AICONA does not transfer ownership of the Client’s original materials to AICONA. The Client grants AICONA a limited, non-exclusive, royalty-free license to use the materials provided by the Client for the purpose of setting up, designing, publishing, operating, maintaining, displaying and providing the service.

25. AICONA Intellectual Property

All intellectual property rights in templates, structures, interfaces, design style, graphic elements, icons, work processes, concepts, ideas, professional know-how, systems, work files, source files and any component created or developed by AICONA in connection with the service shall remain the property of AICONA, unless expressly agreed otherwise in writing. The Client receives a right to use the final Digital Card for the Client’s business activity for the duration of the paid service period.

The Client may not copy, reproduce, sell, transfer, distribute, deconstruct, modify, recreate or make independent commercial use of AICONA’s templates, structures, designs, concepts or work files without AICONA’s prior written approval.

26. Rights in Branding Deliverables

In a plan that includes branding, such as Card + Branding, the Client shall receive a right to use the final deliverables actually provided to the Client, such as a basic logo, color palette or cover image, subject to full payment for the service. Unless expressly agreed otherwise in writing, open source files, unselected drafts, unapproved design directions, work files, templates, system files, internal work presentations and process materials are not included in the final delivery and shall remain the property of AICONA. AICONA may use the knowledge, experience, work methods and general styles developed as part of the service, provided that such use does not constitute unauthorized use of the Client’s confidential materials or rights.

27. Portfolio and Marketing Use

Unless expressly agreed otherwise in writing, the Client authorizes AICONA to display the Digital Card, design deliverables, screenshots, the Client’s logo and business name as part of AICONA’s portfolio, website, social media, presentations, proposals, marketing materials and professional publications. If the Client does not wish AICONA to do so, the Client must notify AICONA in writing before publication of the Digital Card or at the time of ordering. AICONA shall not publish information expressly marked by the Client in writing as confidential, unless such information already appears publicly on the Digital Card or in the Client’s own publications.

28. Confidentiality

AICONA shall make reasonable efforts to keep confidential any business information provided by the Client that has been expressly marked or identified as confidential. The confidentiality obligation shall not apply to information that is public, was known to AICONA before disclosure, was lawfully received from a third party, was independently developed, or must be disclosed by law. Information that the Client requests to publish on the Digital Card shall not be considered confidential information.

29. Prohibited Use of the Service

The AICONA Card service may not be used for the publication, display, distribution or promotion of any content that is unlawful, misleading, impersonating, fraudulent, offensive, defamatory, threatening, inciting, discriminatory, racist, rights-infringing, privacy-infringing, copyright-infringing, trademark-infringing, violent, pornographic, commercially misleading, spam-related, or otherwise likely to harm AICONA, third parties or the public. AICONA may refuse to create, publish, update, continue hosting, renew or display any Digital Card that, in AICONA’s sole discretion, may violate the law, infringe third-party rights, harm AICONA’s reputation or conflict with these Terms.

30. Cancellation and Refunds

Cancellation rights, refunds and cancellation fees shall be governed by applicable law, including consumer protection laws to the extent applicable to the transaction. Because the service includes custom work, design, setup, characterization, use of Client-provided content and digital deliverables, cancellation after work has begun, after a draft has been sent, after the Digital Card has been created, after publication, or after delivery of any deliverable may involve payment for work performed, deliverables provided, work time, third-party costs or cancellation fees, all subject to applicable law. Cancellation requests must be submitted to AICONA in writing using the contact details provided on the website. Nothing in this section shall derogate from any right granted to the Client by law.

31. Termination, Suspension or Removal of Service

AICONA may terminate, suspend, block or remove a Digital Card in the event of:

non-payment; failure to renew the service; breach of these Terms; unlawful or prohibited use;
submission of misleading information; infringement of third-party rights; removal request by the Client; legal requirement; security, operational, maintenance or reputational considerations.

In the event of removal or suspension due to breach of these Terms, the Client shall not necessarily be entitled to a refund, subject to applicable law.

32. Limitation of Liability

The service is provided according to the selected Service Plan, as is, and subject to technological and operational availability. AICONA does not guarantee that the Digital Card will generate inquiries, leads, sales, exposure, transactions, new clients, improved search rankings, marketing success or any business result. AICONA shall not be liable for indirect, consequential, special, business or economic damages, including loss of profits, loss of clients, loss of opportunities, reputational harm, loss of data, loss of inquiries, sharing malfunctions, QR code malfunctions or any similar damage, except where liability cannot be limited by law.

To the extent AICONA is found liable, its liability shall be limited to the amount actually paid for the relevant service giving rise to the claim, subject to applicable law.

33. Indemnification

The Client undertakes to indemnify AICONA for any damage, loss, expense, demand, claim or lawsuit incurred by AICONA as a result of: materials provided by the Client; infringement of third-party rights; publication of information without consent; submission of incorrect or misleading information; unlawful use of the Digital Card; breach of these Terms; or any act or omission by the Client or anyone acting on the Client’s behalf. Such indemnification shall apply subject to applicable law and after the Client has been given reasonable notice of the claim, where possible.

34. Changes to the Service

AICONA may modify, improve, update, replace or discontinue features, designs, templates, Digital Card structures, work processes, technological platforms or service components, at its professional discretion. Such changes may result from technological, commercial, security, operational, design, legal or third-party service considerations. AICONA shall make reasonable efforts not to materially impair an active paid service, but does not undertake to maintain any specific feature, design, structure or infrastructure indefinitely.

35. Changes to These Terms

AICONA may update these Terms from time to time.

The binding version shall be the version published on the website at the time of use, order, payment or renewal. A material change to these Terms may be published on the website or provided to existing Clients, at AICONA’s discretion and subject to applicable law. Continued use of the service after publication of updated Terms constitutes acceptance of the updated Terms.

36. Assignment of Rights

The Client may not transfer, sell, lease, assign or grant to any third party the right to use the Digital Card or the service without AICONA’s prior written approval. AICONA may transfer its rights or obligations under these Terms to an affiliated entity, supplier, purchaser of activity, business partner or other party, provided that such transfer does not unreasonably prejudice the Client’s rights.

37. Governing Law and Jurisdiction

These Terms shall be governed exclusively by the laws of the State of Israel.

The competent courts in Israel shall have jurisdiction over any dispute relating to the AICONA Card service, unless otherwise required by law.

39. Client Acknowledgment

Ordering the service, making payment for the service, submitting materials to AICONA or approving a quotation constitutes confirmation that the Client has read, understood and agreed to these Terms.
